Welcome to amber. These Terms and Conditions (“Terms”) govern your access to and use of our website, products and services, including our ERP, point-of-sale, restaurant and laundry management software (collectively, the “Services”). By accessing our website or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
1. Use of Our Services
You may use the Services only in compliance with these Terms and all applicable laws. You agree not to misuse the Services, interfere with their normal operation, or attempt to access them using a method other than the interfaces and instructions we provide.
2. Accounts and Registration
Some Services require an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately of any unauthorised use of your account. Information you provide during registration must be accurate and kept up to date.
3. Licences and Intellectual Property
Unless otherwise agreed in writing, we grant you a limited, non-exclusive, non-transferable licence to use the software provided as part of the Services for your internal business purposes. All software, content, trademarks, logos and other intellectual property on this website and in the Services remain the property of amber or its licensors. You may not copy, modify, distribute, sell, lease, reverse-engineer or attempt to extract the source code of our software except where such restriction is prohibited by law.
4. Subscriptions, Fees and Payment
- Fees for the Services are described in the applicable order form, quotation or subscription plan.
- Unless stated otherwise, fees are payable in advance and are non-refundable except as required by law.
- We may change subscription pricing with reasonable prior notice; changes take effect at the start of the next billing period.
- Late payments may result in suspension of access to the Services.
5. Customer Data
You retain all rights to the data you enter into the Services (“Customer Data”). You grant us the limited rights needed to host, process, back up and display Customer Data solely to provide and improve the Services. Our handling of personal data is described in our Privacy Policy.
6. Acceptable Use
- Do not use the Services to store or transmit unlawful, infringing or harmful material.
- Do not attempt to probe, scan or test the vulnerability of our systems without written authorisation.
- Do not resell, sublicense or provide the Services to third parties except as expressly permitted.
- Do not use the Services in a way that could damage, disable or impair them for other customers.
7. Third-Party Services
The Services may integrate with or link to third-party products (for example payment gateways, delivery platforms or accounting tools). We are not responsible for third-party services, and your use of them is governed by their own terms and policies.
8. Warranties and Disclaimers
We provide the Services with reasonable skill and care. Except as expressly stated in these Terms or a signed agreement, the Services are provided “as is” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Services will be uninterrupted or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, amber shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising from or related to your use of the Services. Our total aggregate liability for any claim shall not exceed the amount you paid us for the Services in the twelve (12) months preceding the event giving rise to the claim.
10. Termination
You may stop using the Services at any time. We may suspend or terminate your access if you materially breach these Terms and fail to cure the breach within a reasonable period after notice. Upon termination, your right to use the Services ceases; clauses that by their nature should survive (including intellectual property, limitation of liability and governing law) will survive.
11. Changes to These Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
